Please read these Terms of Service (the “Agreement”) carefully. Your use of the Website (as defined below) constitutes your consent to this Agreement.

1. DEFINITIONS

For the purpose of this document :

1.1"Company", "us", "our", and "we" refers to Garuda Aerospace.

1.2 "User", "You", "Your" refers to a person accessing or using the Platform.

1.3 "Services" hereinafter referred to as any product, website feature, drone based technology, software, or digital service offered by the Company.

1.4 "Site" means the website www.garudaaerospace.com and all related online services operated by Garuda Aerospace.

1.5 "User Content" means any and all information and content that a user submits to, or uses with, the Site (e.g., content in the user's profile or postings).

2. USER AGREEMENT

2.1 The Terms and Conditions (hereinafter referred to as "Terms") given below set forth the legally binding terms and conditions that govern your use of this site.

2.2 Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

2.3 These terms of use herewith set forth the legally binding terms and conditions that govern your use of the site.

2.4 By accessing or using the site, you are accepting these terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these terms (on behalf of yourself or the entity that you represent).

3. AGE ELIGIBILITY

3.1 You must be 18 years old of age to use our site and services in India.

3.2 If you are below 18, access is permitted only under the supervision of a parent/legal guardian, in accordance with Rule 10 of the Digital Personal Data Protection Rules, 2025.

3.3 If you do not agree with all of the provisions of these terms, do not access and/or use the site.

4. ACCOUNT REGISTRATION AND RESPONSIBILITIES

4.1 To access certain features of the Site, you must register and create an account and provide certain information about yourself as prompted by the account registration form.

4.2 In lieu of such registration, you represent and warrant the following:

4.2.1 All required registration information you submit is truthful and accurate;

4.2.2 You may delete your Account at any time, for any reason, by following the instructions on the Site.

4.2.3 Company may suspend or terminate your Account in accordance with Clause 15.

4.3 You are responsible for maintaining the confidentiality of your Account's login information and are fully responsible for all activities that occur under your Account.

4.4 You agree to immediately notify Company of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security.

4.5 The Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

5. LICENSE GRANTED BY THE COMPANY TO THE USER

5.1 Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site and its content solely for lawful, personal, and non-commercial use.

5.2 This license does not grant you any ownership or proprietary rights in the Site or its content.

6. RESTRICTIONS ON USE

You agree that your use of the site and the rights granted to you in these Terms are subject to the following restrictions:

6.1 You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site, whether in whole or in part, or any content displayed on the Site.

6.2 You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site.

6.3 You shall not access the Site in order to build a similar or competitive website, product, or service.

6.4 Except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.

6.5 No material from the Site may be copied, republished, uploaded or publicly displayed, in any form, without prior written permission from the Company, except as permitted under the limited license in Clause 5.

6.6 You shall not use the Site in violation of any applicable Indian law, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

7. MODIFICATION OF THE SITE

7.1 Company reserves the right, at its sole discretion, without prior notice to you, at any time, to modify, suspend, or discontinue the Site (in whole or in part) with notice to you in compliance with the Digital Personal Data Protection Rules, 2025.

7.2 You agree that Company will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Site or any part thereof.

7.3 You acknowledge and agree that Company will have no obligation to provide you with any support or maintenance in connection with the Site.

8. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS

8.1 Excluding any User Content that you may provide (defined above in Clause 1.6), you acknowledge that all the intellectual property rights, including copyrights, patents, trade marks, and trade secrets, in the Site and its content are owned by Company or Company's suppliers.

8.2 Neither these Terms (nor your access to the Site) transfers to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Clause 5.

8.3 The Company and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.

8.4 You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party.

8.5 You hereby represent and warrant that your User Content does not violate our Acceptable Use Policy (defined in Clause 10).

8.6 You may not represent or imply to others that your User Content is in any way provided, sponsored or endorsed by Company.

9. LICENSE GRANTED BY THE USER TO THE COMPANY

9.1 By submitting User Content to the Site, you hereby grant the Company a nonexclusive, royalty-free and fully paid, worldwide license to store, reproduce, publicly display and use such User Content solely to the extent necessary for operating, maintaining, and improving the Site and providing the services requested by you.

9.2 This licence shall, however, remain valid only for as long as the User Content is retained in accordance with applicable law and this Policy, and shall be subject to withdrawal of consent, where applicable.

9.3 The Company may also retain and use the data for internal research, statistical analysis, in accordance with applicable Indian laws.

9.4 The Company may also retain User Content and use data for internal research, statistical analysis, provided such data does not identify any individual User and is processed in accordance with applicable Indian law.

9.5 Nothing in these Terms shall be construed as requiring you to waive any moral rights or statutory rights available to you under applicable Indian laws.

10. ACCEPTABLE USE OF POLICY

The following terms constitute our "Acceptable Use Policy". You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content that:

10.1 Infringes any Intellectual property, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.

10.2 Is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libellous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable.

10.3 Is harmful to minors in any way; or violates Child Protection Laws applicable in India.

10.4 In addition, you agree not to:
- Upload, transmit, or distribute to or through the Site any computer viruses, malware, or any other software intended to damage or alter a computer system or data;
- Users shall not send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of duplicative or unsolicited messages, whether commercial or otherwise;
- Users shall not collect, harvest, gather or assemble information or data regarding other users, including e-mail addresses, without their consent;
- Users shall not interfere with or disrupt the operation, security or create an undue burden on servers or networks connected to the Site,
- Attempt to gain unauthorized access to the Site (or to other computer systems or networks connected to or used together with the Site), whether through password mining or any other means;
- Users shall not engage in conduct that harasses or interferes with any other user's use and enjoyment of the Site, or the servers and networks connected to it, nor attempt to gain unauthorised access to the Site or related systems by any means.
- The use of automated tools, agents, scripts, bots or similar mechanisms to create multiple accounts on the Site, or to generate automated searches, requests, or queries to strip, scrape, or mine data from the Site.

11. MONITORING OF USER CONTENT

11.1 We reserve the right to review, monitor or investigate any User Content, activity, or usage at our sole discretion if you violate the Acceptable Use Policy under clause 10.

11.2 Violation of any other clauses of these Terms and those applicable under Indian Laws or conduct that poses a risk to the security or reputation of the Site, the Company may, at its sole discretion, take one or more of the following actions:

a) Remove, restrict, disable, or modify the User Content;

b) Temporarily or permanently suspend or terminate the user's account in the Site;

c) Initiate civil or criminal proceedings, where applicable.

12. INDEMNIFICATION

12.1 You agree to indemnify, keep indemnified and hold harmless the Company (and its officers, employees, agents, contractors, licensors, and affiliates) from any claim or demand made by any third party due to or arising out of your use of the Site, your violation of these Terms and Conditions.

12.2 The Company may, where necessary, participate in the defence of any claim for which indemnity is sought, and you agree to reasonably cooperate in such defence.

12.3 No dispute or settlement shall be entered into that affects the rights or obligations of the Company without the Company's prior written consent, which shall not be unreasonably withheld.

12.4 The Company shall use reasonable efforts to inform you of any such claim upon becoming aware of it

13. THIRD PARTY LINKS AND ADVERTISEMENTS

13.1 The Site may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, "Third-Party Links & Ads"). Such Third-Party Links & Ads are not under the control of Company, and Company is not responsible for any Third-Party Links & Ads.

13.2 The Company provides access to these Third-Party Links & Ads only as a convenience to you, and does not endorse, warrant, or make any representations with respect to Third-Party Links & Ads.

13.3 You use all Third-Party Links & Ads at your own risk, and should apply a suitable level of caution and discretion in doing so. You are advised to review the terms of use, privacy policies, and data handling practices of any Third-Party Services before interacting with or providing any information to them.

Any commercial transactions or interactions between you and third-party service providers are strictly between you and such third-party service providers. The Company shall not be liable for any loss, damage, legal claims, or disputes arising from such interactions.

14. DISCLAIMERS

14.1 The Site is provided on an "as-is" and "as available" basis. To the extent permitted under applicable Indian Law, and the Company expressly disclaim any and all warranties relating to conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

14.2 We (and our suppliers) make no warranty that the Site will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.

14.3 Nothing in these Terms shall exclude or limit any warranties or rights that cannot be lawfully excluded or limited under applicable Indian law.If applicable law requires any warranties with respect to the Site, all such warranties are limited in duration to ninety (90) days from the date of first use.

15. TERMINATION

15.1 We may suspend or terminate your rights to use the Site (including your Account) at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms.

15.2 We may also suspend or restrict access to protect the integrity or proper functioning of the Site.

15.3 Upon termination of your rights under these Terms;

a) Your Account and your right to access and use the Site will terminate immediately.

b) We may disable or delete your Account, except where retention of personal data is required by law or for the establishment, exercise, or defence of legal claims, which will be securely deleted.

15.4 Your personal data will be retained only for the period necessary to comply with legal obligations permitted under the Digital Personal Data Protection Rules, 2025.

15.5 The Company reserves the right to retain in effect after termination those provisions intended to survive termination under these Terms and Conditions and will continue to remain in effect.

16. DISPUTE RESOLUTION AND ARBITRATION

These Terms shall be governed by and construed in accordance with the laws of India.

16.1 Dispute Resolution

16.1.1 In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.

16.1.2 If such negotiation does not resolve the dispute within 30 (thirty) days, the matter shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

16.2 Arbitration

16.2.1.1 The arbitration shall be conducted by a sole arbitrator, mutually appointed by both parties. If the parties are unable to mutually agree on the arbitrator within 30 days, the arbitrator shall be appointed in accordance with Section 11 of the Arbitration and Conciliation Act, 1996.

16.2.1.2 The seat and venue of arbitration shall be Chennai, Tamil Nadu, India.

16.2.1.3 The language of arbitration shall be English.

16.2.1.4 The arbitration proceedings shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, and where applicable, institutional or ad hoc rules agreed between the parties.

16.2.1.5 The arbitral award shall be final and binding on the parties, and may be enforced in any court having appropriate jurisdiction.

17. ELECTRONIC RECORDS AND VALIDITY OF ELECTRONIC AGREEMENTS

17.1 You acknowledge that in accordance with the Information Technology Act, 2000, and other applicable laws, these Terms and Conditions and any other agreements exchanged through this Site shall be legally valid, enforceable, and constitute binding electronic records.

17.2 You acknowledge and represent that your use of the Site, including the clicking of "I Agree," and registering an account on this Site, or continuing to access or use this Site, constitutes your valid consent and electronic acceptance of these Terms and Conditions. No physical signatures are required for the enforcement of this agreement.

17.3 The Company may retain electronic records of such acceptance, in a legally recognised form, in compliance with applicable laws, including the Digital Personal Data Protection Rules, 2025 and the Information Technology Act, 2000.
